Corporate Policy and Commitment to EICC

To achieve these commitments, we are members of EICC and we have adopted specific standards of conduct described in our global Corporate Responsibility Policy, which is designed to conform with the EICC code of conduct. Working together with our supply chain partners and in collaboration with other EICC members, we intend to progressively apply these policies to our suppliers and monitor their application to the best of our ability using EICC tools and approaches.

Conflict Minerals

Fairchild Semiconductor is committed to comply with the SEC conflict mineral reporting requirements and ensure our products do not contain gold, tantalum, tin and tungsten that are sourced from locations in the conflict region which are controlled by non-government military groups, or unlawful military factions. To achieve these commitments, Fairchild Semiconductor supports the actions of the EICC and GeSI and has either obtained, or is in the process of obtaining completed EICC-GeSI Conflict Minerals reporting templates from each of our relevant suppliers and affiliates worldwide.

Corporate Governance

Our board of directors understands that it is ultimately responsible for the governance of the company, and takes this responsibility seriously. Corporate governance is the set of legal and ethical obligations, policies and best practices that determine how Fairchild Semiconductor is controlled and directed, and the mechanisms by which those with control are held accountable. Primary stakeholders are our stockholders, board of directors and senior management team. Other stakeholders include our customers, employees, suppliers, communities, regulators and creditors. We strive to continuously improve our governance structure and processes.
